1) Educational information and tools — not medical care

CZ Optimization provides educational and informational content, digital tools and applications (including the LifeReckoner™ application), published writings, and health, fitness, wellness, and human-optimization coaching. These are for educational and informational purposes only. We are not a physician, clinician, mental health provider, registered dietitian (unless explicitly stated otherwise in writing), or licensed healthcare facility. We do not diagnose, treat, cure, or prevent any disease, and nothing on this website, in our content or tools, or in coaching is medical advice.

You understand and agree:

• You are responsible for your own health decisions.
• You should consult a qualified healthcare professional before making changes to diet, exercise, supplements, medications, or lifestyle.
• In an emergency, call 911 or seek emergency medical care.

2) No guarantees

Individual results vary. We make no guarantees regarding outcomes, including fitness changes, body composition, biomarkers, performance, or wellbeing. Past results do not guarantee future results and no representations have been made, verbal or otherwise, that guarantee results.

3) Eligibility and account responsibilities

You must be at least 18 years old to purchase Services. You agree to provide accurate information and keep login credentials secure. You are responsible for activities under your account.

Any conduct by a user that in our sole discretion restricts or inhibits any other user from using or enjoying the Website will not be permitted.

4) Services, plans, and communications

Services may include (as offered on the site): access to this website and its published writings and other digital content; subscriptions to the LifeReckoner™ application and other software tools (offered on recurring plans, such as monthly membership tiers); and, where offered, coaching such as 1:1 video sessions, session packages, or a membership that may include periodic calls and messaging access (as described at purchase). Recurring subscriptions continue and automatically renew for the stated period until you cancel; you may cancel future renewals at any time in your account settings, and cancellation stops future billing but does not refund amounts already paid. Response times for messaging (if included) are targets, not guarantees, and may be affected by travel, illness, technical issues, or other reasonable interruptions.

5) Payments

Prices are shown at checkout and are subject to change. You authorize us (and our payment processors) to charge the payment method you provide. You are responsible for any applicable taxes, if any.

6) Scheduling for coaching sessions (if purchased)

These rules apply if you purchase coaching sessions. Specific scheduling rules may also appear at booking/checkout and are incorporated into these Terms. In general: if you need to reschedule, you must do so with reasonable notice (recommended: 24 hours); missed sessions or late cancellations will be treated as used sessions, except where prohibited by law; if we must reschedule a session, we will offer a new time or a credit.

7) Refund policy incorporated

All purchases are subject to our Refund Policy, which is incorporated by reference in its entirety.

8) Digital content and intellectual property

All site content, coaching materials, documents, videos, protocols, written guidance, and software, applications, and their outputs are owned by CZ Optimization or licensors and protected by IP laws. You may not copy, reproduce, redistribute, resell, or create derivative works except for your personal, non-commercial use.

9) Client materials you provide

If you upload or send content (messages, forms, logs, files), you grant us a limited license to use it solely to provide Services and operate the business. You represent you have the right to provide it.

You shall not submit any User Content protected by copyright, trademark, patent, trade secret, moral right, or other intellectual property, personal, contractual, proprietary or other third-party rights without the express permission of the owner of the respective right. You are solely liable for any damage resulting from your failure to obtain such permission or from any other harm resulting from User Content that you submit.

10) Confidentiality and privacy (not HIPAA)

We treat client information with care and follow our Privacy Policy. However, unless explicitly agreed in a signed writing and required by law, we are not acting as a HIPAA "covered entity" or "business associate," and communications may occur through standard consumer platforms.

11) Third-party services and links

We may use third-party platforms (e.g., Vercel and Supabase, payment processors, video or messaging tools). Your use of those platforms may be subject to their own terms and privacy policies. We are not responsible for third-party services. The Website may contain links to other Websites maintained by third parties. We do not operate or control, in any respect, or necessarily endorse the content found on these third-party Websites. You assume sole responsibility for your use of third-party links. We are not responsible for any content posted on third-party Websites or liable to you for any loss or damage of any sort incurred as a result of your dealings with any third-party or their Website.

In some instances, Website Content will include content posted by a third-party or will represent the opinions and judgments of a third-party. We do not endorse, warrant and are not responsible for the accuracy, timeliness, completeness, or reliability of any opinion, advice, or statement made on the Website by anyone other than authorized employees or spokespersons while acting in their official capacities.

12) Affiliates and referrals

We may receive referral fees/commissions from certain products or services we mention. We aim to disclose such relationships where relevant. You are responsible for evaluating any third-party products/services.

13) Disclaimers

YOU EXPRESSLY AGREE THAT USE OF THE WEBSITE IS AT YOUR SOLE RISK. THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. 14) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CZ OPTIMIZATION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE LESSER OF THE TOTAL YOU PAID TO US OVER THE LATEST 3-MONTH PERIOD OR $500, EXCEPT WHERE PROHIBITED BY LAW. In some jurisdictions limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitations may not apply to you. These limitations shall apply to the fullest extent permitted by law.

15) Assumption of risk

You acknowledge that exercise, nutrition changes, and lifestyle modifications carry inherent risks, including injury or adverse effects. You voluntarily assume these risks and agree to stop any activity that causes pain or concern and seek professional guidance.

16) Indemnification

You agree to indemnify and hold harmless CZ Optimization, and its employees, agents, distribution partners, affiliates, subsidiaries, and their related companies from and against any and all claims, liabilities, losses, damages, obligations, costs and expenses (including reasonable attorneys’ fees and costs) arising out of, related to, or that may arise in connection with: (i) your access to or use of the Website; (ii) any actual or alleged violation or breach by you of these Terms; (iii) any actual or alleged breach of any representation, warranty, or covenant that you have made to us; or (iv) your acts or omissions. You agree to cooperate fully with us in the defense of any claim that is the subject of your obligations hereunder.

17) Governing law and venue

These Terms are governed by Nevada law, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Clark County, Nevada, unless we both agree to an alternative dispute process.

18) Changes to Terms

We reserve the right in our sole discretion and at any time and for any reason, to modify or discontinue any aspect or feature of the Website or to modify these Terms. In addition, we reserve the right to provide you with operating rules or Additional Terms that may govern your use of the Website generally, unique parts of the Website, or both (Additional Terms). Any Additional Terms that we may provide to you will be incorporated by reference into these Terms. To the extent any Additional Terms conflict with these Terms, the Additional Terms will control.

Modifications to these Terms or Additional Terms will be effective immediately upon notice, either by posting on the Website or by notification by email or conventional mail. It is your responsibility to review these Terms and the Website from time to time for any changes or Additional Terms. Your access and use of the Website following any modification of these Terms or the provision of Additional Terms will signify your assent to and acceptance of the same.
